Bulk Deals

Trades disclosed when a client's total buy or sell in a scrip on an exchange exceeds 0.5% of the company's listed equity shares that day.

Formula

The 0.5% threshold can be reached by one trade or by several trades in the normal market. Brokers report the client, the quantity, and the price. The exchange publishes the deals the same day after market hours. This follows the SEBI bulk-deal framework.

What it means

A bulk deal is a large trade in the ordinary market that crosses the disclosure line. It is not, by itself, a change in control or a researched fundamental event.

The disclosure tells you a named holder bought or sold a meaningful piece. Promoter, FPI, and mutual fund names are the ones that change the register in a way worth tracking.

How to read it

One bulk print can be a rebalance. Repeated bulk selling by the promoter or by a long-term holder is a pattern. Read it beside the next shareholding pattern.

What to watch

The rule is about quantity versus listed equity, not about a fixed rupee size. A bulk deal and a block deal are different mechanisms. Do not use the words interchangeably.

This note explains the term. It is not a research recommendation, a target price, or a comment on any security. Ratios and regulatory thresholds change; use the latest filing or circular for a live figure.
