Fundamental Glossary / Management & Corporate Governance
Management Discussion and Analysis (MD&A)
The section of the annual report where management discusses results, industry conditions, risks, and the internal-control view.
Formula
Required for listed companies. It sits in the annual report and is reviewed, though it is not itself a set of audited numbers.
What it means
MD&A is the structured version of management commentary. It should explain the movements in revenue, margins, and capital, and describe opportunities and threats.
It is the right place to find capacity, order book, and segment discussion when the face of the P&L is only a few lines.
How to read it
A useful MD&A reconciles the story to the statements and admits what went badly. A weak one repeats the chairman's adjectives and adds no numbers.
What to watch
Internal-control comments and "no material developments after the balance sheet date" are easy to skip and sometimes the most important sentences in the section.
This note explains the term. It is not a research recommendation, a target price, or a comment on any security. Ratios and regulatory thresholds change; use the latest filing or circular for a live figure.
