Fundamental Glossary / Management & Corporate Governance

Management Commentary

The narrative in which management explains performance, risks, and outlook. In a full annual report this overlaps the MD&A.

Formula

Found in the investor presentation, the earnings release, and the directors' report. It is not audited the way the financial statements are.

What it means

Commentary is where management says why revenue moved, what the order book is, and what it will spend next year. It is useful and it is marketing.

The disciplined way to read it is to tick every number back to the statements and to last year's promises.

How to read it

Specific, comparable, and repeated metrics are a good sign. A new metric every year, always the one that grew, is a bad one.

What to watch

Forward-looking sentences are not guidance unless they are quantified and then reported against. "Optimistic about demand" is not a forecast you can grade.

This note explains the term. It is not a research recommendation, a target price, or a comment on any security. Ratios and regulatory thresholds change; use the latest filing or circular for a live figure.
