Fundamental Glossary / Shareholding & Ownership

Insider Ownership

Shares held by people who run or control the company: promoters, directors, and key managers.

Formula

Insider shares / total shares. In India the promoter holding is the disclosed core of this idea. Director holdings are disclosed separately.

What it means

Insider ownership aligns the people who decide with the people who own. Skin in the game is the plain-language version.

It is not automatically good. Entrenched insiders with weak oversight can still destroy value. Ownership is an incentive, not a substitute for governance.

How to read it

Rising insider ownership through open-market purchases is a stronger signal than a static holding inherited years ago. Disclosed buys and sells are the record.

What to watch

Options that have not been exercised are not yet ownership. A large unexercised grant is a future claim, closer to dilution than to current insider ownership.
