Annual General Meeting (AGM)
The yearly meeting of shareholders to adopt the accounts, appoint auditors, declare the final dividend, and transact other ordinary business.
Formula
Listed companies hold it within the statutory time after the year-end. Notice, agenda, and the result of e-voting are filed with the exchanges.
What it means
The AGM is where the year's accounts are placed before the owners and where retiring directors and the auditor are considered.
Ordinary resolutions need a simple majority of votes cast. Special resolutions need a higher threshold. The shareholding pattern tells you whether the promoter's vote already decides the outcome.
How to read it
Read the notice, not only the outcome. Related-party items, a change in the object clause, or a large remuneration proposal is the substance. The voting result shows how the minority actually voted when its votes were excluded.
What to watch
A delayed AGM, or an adjournment of the accounts item, is a governance and compliance event. It often travels with a delayed audit.
This note explains the term. It is not a research recommendation, a target price, or a comment on any security. Ratios and regulatory thresholds change; use the latest filing or circular for a live figure.
