Corporate Announcements

The disclosures a listed company files with the exchanges: results, board meetings, dividends, insider trades, and material events.

Formula

Published on NSE and BSE. Regulation 30 of the listing regulations sets the material-event framework.

What it means

Announcements are the running record between annual reports. Results, outcome of board meetings, shareholding patterns, and loss of a major customer are supposed to appear here.

For a fundamental analyst the exchange announcement page is a primary source, ahead of a news rewrite.

How to read it

Read the filing, not the headline. "Outcome of board meeting" can be a dividend, a fundraising, or a resignation. The PDF says which.

What to watch

A material event disclosed late, or only after a news report, is a disclosure failure. The timing is part of the information.

This note explains the term. It is not a research recommendation, a target price, or a comment on any security. Ratios and regulatory thresholds change; use the latest filing or circular for a live figure.
