Extraordinary General Meeting (EGM)
A shareholder meeting called between AGMs for business that cannot wait, such as an issue of shares, a change in capital, or a major transaction.
Formula
Called by the board, or requisitioned by shareholders who hold the required fraction of capital. Notice and voting results are disclosed.
What it means
EGMs are where capital changes and other special business are put to a vote. A preferential issue, a change of name, or an alteration of the articles often arrives this way.
The notice explains the resolution. The explanatory statement is the part worth reading.
How to read it
A cluster of EGMs for related-party deals or repeated equity issues is a capital-allocation and governance pattern, not a series of formalities.
What to watch
Shareholder requisitioned meetings are rare and informative. They mean a holder large enough to demand a meeting wants something the board did not propose.
This note explains the term. It is not a research recommendation, a target price, or a comment on any security. Ratios and regulatory thresholds change; use the latest filing or circular for a live figure.
