Mainboard IPO

An initial public offering on the main board of NSE or BSE, as distinct from the SME platform.

Formula

Requires the larger eligibility track: a full draft prospectus filed with SEBI, an offer period, a price band or a fixed price, and listing of the equity.

What it means

A mainboard IPO is how a company first sells shares to the public on the main exchange and becomes subject to the full listing obligations.

The offer can be a fresh issue, which brings cash into the company, an offer for sale, which pays existing shareholders, or both.

How to read it

Read the objects of the issue. Cash that repays debt or builds a disclosed plant is a different use from cash that pays selling shareholders and "general corporate purposes."

What to watch

A mainboard listing improves disclosure and does not improve the business. The prospectus risk factors are written by lawyers, and some of them are still the real risks.

This note explains the term. It is not a research recommendation, a target price, or a comment on any security. Ratios and regulatory thresholds change; use the latest filing or circular for a live figure.
